Influencer Contract

Influencer Sponsorship Agreement

This Influencer Agreement (the "Agreement") is entered into as of 2026-08-11, by and between Northwind Labs, Inc. ("Brand") and Jordan Rivera ("Influencer").

1. Engagement

Brand hereby engages Influencer to create, publish, and distribute promotional content (the "Content") on the Influencer's social media channels, specifically on Instagram, in accordance with the terms of this Agreement.

2. Deliverables & Schedule

Influencer agrees to provide the following Deliverables:
3 in-feed posts and 5 stories over 30 days, each tagging @northwindlabs and using #NorthwindPartner.

The Deliverables must remain publicly visible on the Influencer's channel for a minimum of 60 days following publication, unless otherwise agreed in writing.

3. Compensation

In full consideration for the Deliverables and the rights granted herein, Brand shall pay Influencer a total fee of $$4,500 plus 10% affiliate commission. Payment shall be made within 15 days following the successful publication of all required Deliverables.

4. Content Requirements & FTC Compliance

Influencer agrees to comply with all applicable laws and regulations, including the Federal Trade Commission (FTC) guidelines regarding endorsements and testimonials. Influencer MUST clearly and conspicuously disclose the material connection with Brand by including hashtags such as #ad or #sponsored in a prominent location in all Content.

5. Intellectual Property Rights

Influencer retains ownership of the original Content created. However, Influencer grants Brand a worldwide, irrevocable, royalty-free, non-exclusive license to use, reproduce, modify, publicly display, and distribute the Content for Brand's own marketing and advertising purposes across all media channels in perpetuity.

6. Exclusivity & Non-Disparagement

During the term of this Agreement and for a period of 30 days thereafter, Influencer agrees not to promote, endorse, or create content for any direct competitor of the Brand. Furthermore, Influencer agrees not to make any negative, defamatory, or disparaging statements about the Brand or its products.

7. Independent Contractor

Influencer is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, or employer-employee relationship.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of State of Delaware, USA.
