End-User License Agreement (EULA)

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Northwind Labs, Inc. ("Licensor") for the software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software Product" or "Software" - namely, Northwind Insight Desktop).

By installing, copying, or otherwise using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software Product.

1. Grant of License

Northwind Labs, Inc. grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Software strictly in accordance with the terms of this Agreement.

2. Restrictions on Use

You agree not to, and you will not permit others to:

  • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Software or make the Software available to any third party.
  • Modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer any part of the Software.
  • Remove, alter or obscure any proprietary notice (including any notice of copyright or trademark) of Northwind Labs, Inc. or its affiliates, partners, suppliers or the licensors of the Software.

3. Intellectual Property

The Software, including without limitation all copyrights, patents, trademarks, trade secrets and other intellectual property rights are, and shall remain, the sole and exclusive property of Northwind Labs, Inc..

4. Termination

This EULA is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Northwind Labs, Inc..

It will also terminate immediately if you fail to comply with any term of this EULA. Upon such termination, the licenses granted by this EULA will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA.

5. Governing Law

The laws of State of Delaware, USA, excluding its conflicts of law rules, shall govern this Agreement and your use of the Software. Your use of the Software may also be subject to other local, state, national, or international laws.
