Independent Contractor Agreement

This Independent Contractor Agreement (the "Agreement") is entered into as of 2026-08-11, between Northwind Labs, Inc. ("Client") and Alex Carter ("Contractor").

1. Services

The Contractor agrees to perform the following services for the Client (the "Services"):
Design and build the customer-facing analytics dashboard, including API integration, automated tests and handover documentation.

2. Compensation

In consideration for the Services provided, the Client agrees to pay the Contractor at a rate of $145 per hour. The Contractor shall invoice the Client, and the Client shall pay within 15 days of receiving the invoice.

3. Independent Contractor Status

The Contractor is an independent contractor, not an employee of the Client. The Contractor is solely responsible for all taxes, withholdings, and other statutory or contractual obligations of any sort.

4. Ownership of Work Product

Any copyrightable works, ideas, discoveries, inventions, patents, products, or other information developed in whole or in part by the Contractor in connection with the Services will be the exclusive property of the Client. The Contractor hereby assigns all rights, title, and interest in the work product to the Client.

5. Confidentiality

The Contractor agrees that any information received by the Contractor during any furtherance of the Contractor's obligations in accordance with this Agreement, which concerns the personal, financial or other affairs of the Client will be treated by the Contractor in full confidence and will not be revealed to any other persons, firms or organizations.

6. Termination

This Agreement may be terminated by either party upon 14 days written notice to the other party. Upon termination, the Client shall pay the Contractor for all Services performed up to the date of termination.

7. Governing Law

This Agreement shall be governed by the laws of the State of State of Delaware, USA.
